This module delves into the critical issues surrounding corporate governance and its impact on financial performance, preparing students to tackle the pressing challenges in today’s corporate world. Focusing on key agency problems—where top executives may act in their own interest at the expense of shareholders and other stakeholders—the module covers essential corporate governance mechanisms such as the role of the board of directors, executive compensation, ownership structures, and corporate control. Additionally, it explores external governance influences, including institutional shareholders, various stakeholders as well as accounting, legal, and regulatory frameworks in shaping corporate strategy. Through a blend of academic research and real-world case studies, students will gain insights into the complexities of corporate governance and its practical implications. The module also focuses on sustainability, examining its growing importance in business strategy. By the end of the module, students will be equipped to critically evaluate corporate governance issues, propose solutions for improving governance effectiveness, and understand the vital role of business sustainability within modern society.
